Mr. Mohan Ram Goenka is the Founder and Lead Partner of MR & Associates, a distinguished Practicing Company Secretary and Insolvency Professional with over three decades of experience. A highly qualified professional, he holds degrees in M.Com, is a Fellow Member of the Institute of Company Secretaries of India (FCS), a Chartered Financial Analyst (CFA), and holds postgraduate diplomas in Financial Management (PGDFM) and Personnel Management (PGDPC).Under his visionary leadership, MR & Associates has grown into a respected and reputed consultancy firm offering end-to-end solutions in Corporate Law and Insolvency matters. Mr. Goenka specializes in corporate legal advisory, secretarial services, and consultancy on matters relating to the Companies Act, with a particular focus on issues of oppression and mismanagement, liquidation, mergers, demergers, amalgamations, takeovers, acquisitions, and corporate restructuring. He also actively handles complex matters under the Insolvency and Bankruptcy Code, including Corporate Insolvency Resolution Processes (CIRP).
He regularly appears and represents clients before the Hon’ble National Company Law Tribunal (NCLT), National Company Law Appellate Tribunal (NCLAT), Regional Directors (RD), Registrars of Companies (ROC), RBI and Stock Exchanges.
A dynamic trainer and sought-after speaker, Mr. Goenka has been invited as an Honorary Guest Speaker at various seminars and workshops conducted by leading professional bodies such as ICAI, ICSI, ICMAI, and their regional chapters and study circles and had so far addressed approximately 500 plus workshops, seminars, conferences, training programs and webinars organized by ICSI, ICAI and ICWAI, several other professional forums. Mr. Subrata Sinha is a qualified Company Secretary and Commerce Honours Graduate. Having commenced his journey with the firm as an employee, he demonstrated exceptional commitment and expertise, and has been a Partner for over two decades. He brings with him over a decade of distinguished experience in the corporate domain, having previously worked with listed entities and gained hands-on expertise in regulatory and compliance matters.
His core area of specialization lies in Secretarial Audit and Corporate Compliance Management, with in-depth proficiency in conducting secretarial audits in accordance with Section 204 of the Companies Act, 2013 and applicable rules. He has led numerous audits for listed and unlisted companies, ensuring holistic review of compliances under the Companies Act, SEBI Regulations, FEMA, and other sector-specific laws. His audit approach is risk-based, compliance-focused, and strategically aligned with board governance priorities.
Mr. Sinha also has strong command over SEBI Listing Regulations, Foreign Exchange Management Act (FEMA) compliances, Labour law compliances, and strategic due diligence assignments. He is actively engaged in corporate restructuring, including mergers, demergers, and buybacks, and regularly advises on compounding of offences, dealing with show cause notices, prosecutions, and remedial actions under various corporate laws.
